These Terms of Service (“Terms”) govern your access to and use of www.sterigen.us (the “Site”) and your purchase of Sterigen products from Maxx Laboratories LLC (“Maxx Laboratories,” “we,” “our,” or “us”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our products.

1. Products — research and professional use only

Not for human or veterinary use. Sterigen products are USP-grade bacteriostatic water supplied solely for laboratory, research, and professional procurement purposes. They are not offered as a drug, dietary supplement, or medical device, and are not intended to diagnose, treat, cure, or prevent any disease or condition in humans or animals. You are solely responsible for ensuring that your purchase, handling, storage, use, and any resale of the product comply with all applicable laws and regulations in your jurisdiction.

2. No medical or professional advice

Content on the Site, including product descriptions and documentation, is provided for general informational purposes only and does not constitute medical, regulatory, or legal advice.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from us. If you order on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Orders and acceptance

Your submission of an order is an offer to purchase. We may accept, decline, limit, or cancel any order at our discretion — including for reasons such as product availability, errors in pricing or product descriptions, suspected fraud, or where a sale would be unlawful. We may require additional verification before accepting an order.

5. Pricing and payment

Prices are listed in U.S. dollars and are subject to change without notice. Payment is processed through our third-party payment provider, PsiFi (using Transak). By submitting payment, you agree to the provider’s applicable terms. Payments may be settled in cryptocurrency or a stablecoin. You are responsible for providing accurate payment details and for any taxes, duties, or fees that apply to your order.

6. Shipping and delivery

We ship to the address you provide. Title and risk of loss pass to you upon our delivery of the products to the carrier. Delivery time estimates are not guaranteed. You are responsible for compliance with all import, export, and local laws applicable to receiving the product at your destination.

7. All sales are final

All sales are final. We do not accept returns or exchanges on any product, opened or unopened. Orders cancelled before they ship, and orders that arrive damaged or incorrect or are never delivered, are handled under our Refund Policy, which is incorporated into these Terms.

8. Product information, COA, and specifications

Products are supplied in accordance with their specifications. A Certificate of Analysis (COA) is available per lot. Product images and descriptions are provided for general information; we do not warrant that all content on the Site is accurate, complete, or error-free.

9. Acceptable use

You agree not to: (a) use, or permit the use of, the products for human or veterinary use; (b) resell, relabel, or market the products in violation of applicable law or in a way that misrepresents the product or its intended use; or (c) misuse, disrupt, or attempt to gain unauthorized access to the Site.

10. Intellectual property

The Site and its content, including text, graphics, logos, and the Sterigen name and marks, are owned by or licensed to Maxx Laboratories LLC and are protected by applicable laws. You may not copy, reproduce, or use them without our prior written permission.

11. Disclaimer of warranties

Except as expressly stated in these Terms or a product’s specifications, the Site and products are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

12. Limitation of liability

To the fullest extent permitted by law, Maxx Laboratories LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or related to the Site or products. Our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Maxx Laboratories LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your misuse of the products or the Site or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Cheyenne, Wyoming, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted, and we will update the “Last updated” date above. Your continued use of the Site or purchase of products after changes take effect constitutes acceptance.
